Web Business Development Terms of Service
The rules for using this website, plus the baseline terms behind every WBDI engagement, from websites and search to cloud hosting and AI. Your signed project agreement adds the details for your own work.
Full Text of the Terms of Service
WBDI's Terms let you use this website for lawful, informational purposes. Paid projects run on a signed proposal or agreement, which takes priority if it conflicts with these Terms. Clients own custom deliverables once they are paid in full. Search engines and AI platforms decide rankings and citations, so WBDI cannot guarantee them, and AI output needs human review that matches how it is used.

1. Accepting These Terms
These Terms of Service (the "Terms") are a contract between you and Web Business Development ("WBDI," "we," "us," or "our"). They apply when you visit or use the website located at www.webbusinessdevelopment.com (the "Site"), and they set baseline rules for the professional services WBDI provides (the "Services"). By using the Site, you accept these Terms and acknowledge our Privacy Policy, which explains how we handle personal information.
If you use the Site or engage WBDI for a company or other organization, you confirm that you are authorized to accept these Terms for it, and "you" includes that organization. If you do not accept these Terms, please do not use the Site.
2. About Web Business Development
WBDI runs its consulting practice from 1100 Caraway Ln., Las Vegas, NV 89144, USA. Our work covers four areas: designing websites, online shops, portals, and integrations; helping businesses get found through SEO, answer engine optimization (AEO), and digital marketing; hosting and protecting websites on cloud platforms; and putting AI to work through AI assistants, workflow automation, AI strategy, and staff training.
Call +1 (818) 262-8552 during business hours (Weekdays, 9 AM to 5 PM PT), or send an email to contact@invertedsoftware.com, which we read on business days.
3. Using This Website
- Permission to use: WBDI gives you a limited, revocable, non-exclusive, non-transferable permission to view the Site and to print or save pages for your own information or internal business use, as long as you follow these Terms.
- Who may use it: the Site is meant for adults and businesses. To use it, you must be 18 or older and able to enter a binding contract.
- General information only: service descriptions, FAQs, comparisons, and other content on the Site explain how WBDI works and how web, search, cloud, and AI topics generally work. That content is not legal, tax, financial, accessibility-compliance, or security advice for your situation. It can go out of date as platforms change, and reading it does not make you a WBDI client.
- Availability: we may change, pause, or retire any part of the Site at any time, and the Site may occasionally be unavailable for maintenance or because of problems outside our control.
- Ending access: WBDI may block or end anyone's access to the Site if we reasonably believe they have broken these Terms or the law. Losing access to the Site does not end a Client Agreement (Section 6); that agreement's own terms decide how it ends.
- Google Maps: our contact page includes Google Maps features and content. Your use of them is subject to the current versions of the Google Maps End User Additional Terms of Service and the Google Privacy Policy.
4. Prohibited Uses
While using the Site, you agree not to:
- break any law or regulation, or help someone else do so;
- scan, probe, or test the Site for vulnerabilities, or try to reach any system, account, or data you are not authorized to use, unless WBDI has given you written permission;
- send malware, overload the Site, or otherwise interfere with how it works;
- get around reCAPTCHA, rate limits, or other protections;
- use the contact form for spam, bulk sales pitches, phishing, or harassment, or submit false information or pretend to be someone else;
- harvest email addresses or phone numbers from the Site in order to send unsolicited messages;
- copy the Site's design, text, or images to pass them off as your own or to build a confusingly similar website; or
- submit another person's personal information, or confidential material, that you have no right to share.
Crawlers and AI systems. Search engines, AI answer engines, and other well-behaved crawlers may access, index, and use the Site's public pages as our robots.txt file allows, which currently includes crawlers that gather content for AI model training. We also publish a plain-language company summary at /llms.txt. The llms.txt format is a voluntary proposal that is still taking shape, not a formal standard, so no AI tool is required to read or follow it. Automated access that ignores robots.txt or strains the Site is not permitted.
5. Who Owns the Website Content
The Site and its content, including text, graphics, photographs, page layouts, code, and the Web Business Development and WBDI names and logo, belong to WBDI or to the people who license them to us, and are protected by copyright, trademark, and other laws to the extent those laws apply. Except as these Terms allow, you may not copy, republish, sell, or create derivative works from Site content without our written permission. Quoting short passages with a link back to the source page is fine.
Names and logos of other companies mentioned on the Site, such as Google, Microsoft, Amazon Web Services, OpenAI, Anthropic, Shopify, and WordPress, belong to their owners. Mentioning them describes the platforms WBDI works with. It does not mean those companies endorse WBDI or that WBDI holds any partner status with them.
6. Paid Work Runs on Signed Agreements
WBDI performs paid Services only under a written agreement that both parties sign or accept, such as a proposal, statement of work (SOW), master services agreement (MSA), or data processing agreement (DPA). Together these are your "Client Agreement." The Client Agreement sets the scope, deliverables, schedule, fees, and payment terms for the work, along with any warranties, service levels, or liability terms.
If a Client Agreement conflicts with these Terms, the Client Agreement controls for the Services it covers. Where a Client Agreement is silent, these Terms fill the gap. These Terms always govern use of the Site.
Free reviews and estimates. WBDI's free visibility review is a high-level check of your website, your search and map listings, how AI assistants answer questions about your business, and, where you share details or access, your hosting and analytics. WBDI decides how deep each review goes. It is not a full audit, and it does not require access to your accounts. Reviews, early recommendations, and estimates come without charge or obligation, reflect our professional judgment based on the information available when we prepare them, and are not a commitment to perform work. No client relationship exists until a Client Agreement is in place.
Not legal advice. WBDI is not a law firm. Accessibility audits, privacy and cookie reviews, AI acceptable-use policies, compliance risk reviews, and flags about advertising, fair housing, health privacy, or other regulated topics are practical business and technical guidance. They are not legal advice, so have your own attorney confirm the legal requirements before you rely on them.
7. Who Owns the Work We Deliver
Unless your Client Agreement says otherwise:
- Custom deliverables become yours. Once you have paid the fees for the work that produced a deliverable (for a fixed-scope project, its final invoice; for a monthly program, that month's invoice), WBDI transfers to you ownership of the work it created specifically for you under the Client Agreement, such as custom designs, code written for your project, written content, and project documentation ("Custom Deliverables"). Until then, you may use drafts and work in progress for the project itself.
- WBDI keeps its own tools. WBDI retains ownership of what it created before or outside your project, and of general know-how and improvements that are not specific to you, including code libraries, components, templates, scripts, prompts, workflows, checklists, and methods ("WBDI Materials"). When WBDI Materials are built into a deliverable, WBDI grants you a non-exclusive, royalty-free, perpetual license, valid worldwide, to use, copy, and modify those materials within that deliverable, and to let your contractors and successors do the same for your benefit.
- Third-party components keep their own licenses. Themes, plugins, fonts, stock images, open-source packages, and software services included in a deliverable are licensed to you under their owners' terms; WBDI does not transfer them. Paid licenses are your responsibility unless the Client Agreement says WBDI provides them.
- Your materials stay yours. You keep ownership of the logos, text, photos, data, and other materials you give WBDI, and you grant WBDI permission to use them as needed to perform the Services.
8. Third-Party Platforms and Their Terms
Much of WBDI's work runs on platforms we do not own or control, including:
- search and local platforms such as Apple Business, Bing Places, Bing Webmaster Tools, Google Business Profile, Google Search, and Google Search Console;
- analytics and advertising tools such as Google Analytics 4, Google Tag Manager, Google Ads, and Microsoft Advertising;
- AI model providers, including Anthropic, Google, Microsoft, and OpenAI;
- cloud and edge providers such as Microsoft Azure, Amazon Web Services (AWS), Google Cloud, and Cloudflare; and
- website platforms, plugins, and business software such as WordPress, Shopify, WooCommerce, HubSpot, Salesforce, Microsoft 365, and Google Workspace.
Your use of these platforms is governed by their own terms, policies, and pricing, which you accept directly with each provider unless WBDI holds the account for you. Providers can change features, algorithms, prices, policies, and APIs, or suspend accounts, at any time and without asking WBDI. WBDI is not responsible for a third party's products, outages, decisions, or changes, although we will help you respond to them as your Client Agreement provides. Third-party fees are separate from WBDI's fees unless the Client Agreement includes them.
Your domain, analytics, advertising, Google Business Profile, and Google Search Console accounts are set up and kept in your name, and WBDI works in them as a user you can remove at any time. Cloud hosting may sit in a cloud account you own or in one WBDI holds and manages for you, as the Client Agreement specifies. When WBDI holds the account, WBDI accepts that provider's terms and you agree to follow them for your site. When a hosting engagement ends, WBDI will give you the files, data, access, and documentation needed to move your site, as the Client Agreement describes.
9. No Guarantee of Rankings, Traffic, Leads, or AI Mentions
WBDI works within the published guidelines of search engines and AI platforms and uses methods we believe give a business its best chance to be found, understood, and chosen. Even so, the outcome is decided by others.
The companies behind these platforms, including Google, Microsoft, Apple, OpenAI, Anthropic, and Perplexity, decide which pages rank, which businesses appear in maps and local results, and which sources get mentioned, cited, or recommended in AI answers from Google AI Overviews, Google AI Mode, ChatGPT, Gemini, Microsoft Copilot, Perplexity, and Claude. They use systems they change often and do not fully disclose, and competitors, demand, and your own reputation also play a part.
For that reason, WBDI does not guarantee any particular ranking or position, amount of traffic, number of leads or sales, or that any AI-generated answer will mention, cite, or recommend your business. Forecasts, benchmarks, and estimates we share are informed opinions, not promises. We will not use tactics that break platform rules, such as paid link schemes, hidden text, or fake reviews, to chase short-term results.
10. Reviewing AI-Generated Output
Some Services and deliverables use artificial intelligence, including website assistants, internal knowledge tools, automations, drafts, summaries, and suggested content or code. AI models generate output by prediction, so results can be wrong, incomplete, out of date, or biased, may resemble existing material, and can differ from one request to the next.
- Review before reliance: you are responsible for having a qualified person check AI output before you publish it, act on it, or use it for decisions with legal, financial, medical, employment, or safety consequences. Tools that answer customers on their own, such as a website assistant, cannot have every reply checked first, so for those tools you are responsible for approving the content they draw on and for reviewing their answers through the monitoring and handoff steps in your Client Agreement.
- Human oversight in production: AI tools that act on your behalf should include the approval steps, monitoring, and disclosures your use case and the law require. WBDI builds the checkpoints described in your Client Agreement, but decisions made with AI output remain yours.
- Provider rules apply: AI features are subject to the usage policies of the model provider involved.
- Rights in output: some jurisdictions give limited or no copyright protection to material generated by AI without enough human authorship, so WBDI cannot promise that AI output can be protected or is free of third-party claims.
- Your data: WBDI trains no AI model on your data unless you agree in writing, as our Privacy Policy explains.
11. Hosting Acceptable Use and Suspension
If WBDI hosts or manages a website, application, email service, or other system for you ("Hosted Services"), you may not use it, or let anyone else use it, to:
- store, display, or distribute unlawful content, malware, or phishing pages;
- send spam or unsolicited bulk email;
- infringe intellectual property or privacy rights;
- attack, scan, or disrupt other systems, or mine cryptocurrency;
- use resources in a way that degrades the service for others; or
- store payment card numbers, protected health information, or other regulated data, unless the Client Agreement specifically covers that data and the controls it needs.
You must also follow the acceptable use policies of the underlying cloud and edge providers, such as AWS, Microsoft Azure, Google Cloud, and Cloudflare.
Suspension. WBDI may suspend or restrict a Hosted Service, disable specific content, or block traffic if we reasonably believe this section is being violated, the service has been compromised or is under attack, suspension is needed to protect other systems or people, or a provider, court, or government authority requires it. When practical, we will contact you first, limit the suspension to what the situation requires, and restore service once the problem is fixed. More specific terms in your Client Agreement control.
Reporting abuse or infringement. To report spam, malware, or content on a site WBDI hosts that you believe infringes your copyright or other rights, email contact@invertedsoftware.com with the web address, a description of the problem, and your contact details. WBDI will review each report and take any action this section allows.
12. Client Responsibilities
When you engage WBDI, you agree to:
- Supply what the work needs: provide content, materials, information, and decisions when the Client Agreement calls for them. Delays on either side can move timelines.
- Hold the rights to what you supply: you confirm that you own or have permission to use the text, images, logos, trademarks, data, and other materials you give WBDI, that you have a lawful basis for any personal information you share, and that our use of them as you direct will not violate the law or anyone's rights.
- Provide and maintain account access: give WBDI the access the work requires to your domain registrar, DNS, hosting, content management system, analytics, Google Search Console, Google Business Profile, advertising, and other accounts, keep that access current, set WBDI up with its own login wherever the platform supports it, and share any credentials a platform still requires only through the secure method WBDI provides.
- Review and approve on time: review designs, content, and releases within the time the Client Agreement sets, or promptly if it sets none. WBDI may rely on your approvals when moving to the next step.
- Stand behind your business claims: make sure your offers, prices, and any regulated statements, such as health, financial, or legal claims, are accurate and follow the rules for your industry.
13. Training Materials and License
Slides, workbooks, exercises, prompt libraries, templates, recordings, and other materials WBDI provides in training sessions or workshops ("Training Materials") belong to WBDI or its licensors. Once the training is paid for, WBDI grants your organization a non-exclusive, non-transferable license to use and copy the Training Materials internally, for your own employees and contractors.
Without WBDI's written permission, you may not sell, publish, or share Training Materials outside your organization, use them to teach people outside it, or load them into an AI tool to build a competing course or product. Notes, prompts, and work your people create during sessions from your own information belong to you. Sessions may be recorded only with WBDI's consent. Training is educational and is not legal, compliance, or security advice. Because AI tools change quickly, materials reflect the tools and features available when they were delivered.
14. Confidential Information
During a project, each party may receive non-public information from the other, such as business plans, pricing, customer data, source code, account details, or unpublished content. The party receiving it will use it only for the engagement, protect it with reasonable care, and share it only with people and contractors who need it and are bound by confidentiality duties.
These duties do not apply to information that:
- is or becomes public through no fault of the receiving party;
- the receiving party already knew;
- the receiving party develops independently; or
- the receiving party receives lawfully from someone else.
A party may disclose confidential information when the law requires it, after giving the other party notice where the law allows. A signed nondisclosure agreement (NDA) or Client Agreement controls if its confidentiality terms differ.
Contact form inquiries. WBDI treats the business details you share in an inquiry with discretion. The contact form is not built for sensitive material, so keep logins, API keys, card numbers, medical details, and trade secrets out of it. Ask us for an NDA and a secure transfer method first.
Suggestions. If you suggest improvements to the Site or to how WBDI works, we may use the suggestion without any obligation to you. This does not apply to your project information.
15. Warranty Disclaimer
The Site and its content are provided "as is" and "as available." To the extent the law allows, WBDI disclaims all warranties about the Site, whether express, implied, or statutory, including the implied warranty of merchantability, the implied warranty of fitness for a particular purpose, any implied warranty of title or non-infringement, and any warranty that the Site will be uninterrupted, secure, free of errors or harmful code, or accurate, complete, and current.
Warranties for paid Services, if any, are stated only in the Client Agreement. Nothing in this section takes away a warranty that a signed Client Agreement provides.
16. Limits on Our Liability
To the extent the law allows, WBDI and its owners, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, business opportunities, search rankings, or data, arising from or connected with the Site or these Terms, even if WBDI was told such losses were possible.
WBDI's total liability for all claims connected with the Site is limited to US$100. For Services, the liability limits in the Client Agreement apply. If you receive Services without a Client Agreement that addresses liability, WBDI's total liability for those Services is limited to the fees you paid WBDI for the specific Services that gave rise to the claim.
These limits do not apply to liability that cannot be limited by law, such as liability for fraud or for injury or death caused by negligence. Some states and countries do not allow certain exclusions or limits, so parts of this section may not apply to you.
17. Your Indemnity Obligations
You will defend and indemnify WBDI and its owners, employees, and contractors against third-party claims, and the resulting losses, damages, fines, settlements, and reasonable attorneys' fees, that arise from:
- your misuse of the Site or breach of these Terms;
- content, data, trademarks, or other materials you supplied to WBDI, including claims that they infringe someone's rights or were shared without a lawful basis;
- your products, services, prices, offers, or business practices, including statements you approved for publication; or
- your use of AI output or Hosted Services in violation of these Terms or the law.
WBDI will tell you promptly about a claim, let you control the defense with counsel reasonably acceptable to WBDI, and cooperate at your expense. You may not settle a claim in a way that imposes obligations on WBDI without our written consent. For Services, any indemnity terms in the Client Agreement control.
18. Nevada Law and Clark County Venue
Nevada law governs these Terms and any dispute about the Site or the Services, without applying conflict-of-law rules that would point to another jurisdiction's law, except where a Client Agreement chooses a different law for disputes under it.
Before either party files a lawsuit, it will send the other a written description of the dispute, and both will try in good faith to resolve it through discussion. Any lawsuit must be filed in a state or federal court sitting in Clark County, Nevada, and both parties consent to the personal jurisdiction of those courts. Either party may ask any court with jurisdiction for an injunction to stop misuse of its confidential information or intellectual property. If a Client Agreement contains its own dispute-resolution or venue clause, that clause controls for disputes under that agreement.
19. Updates to These Terms
WBDI may update these Terms when our services, the Site, or the law changes. We will post the revised Terms on this page with a new "Last Updated" date, and they apply to use of the Site from that date. If you keep using the Site after an update, you accept the revised Terms. An update never changes a Client Agreement that is already signed; changing one requires a written amendment that both parties sign. For a Client Agreement signed before an update, the version of these Terms in effect on its signing date keeps filling any gaps in it, unless both parties agree in writing to use the newer version.
20. General Provisions
- Whole agreement: for use of the Site, these Terms and the Privacy Policy are the full agreement between you and WBDI. For Services, the Client Agreement and these Terms apply together, with the Client Agreement controlling as Section 6 explains.
- Severability: if a court finds part of these Terms unenforceable, that part will be enforced as far as the law allows, and the rest stays in effect.
- No waiver: if WBDI does not enforce a provision right away, we have not given up the right to enforce it later.
- Transfers: you may not transfer your rights or duties under these Terms without WBDI's written consent. WBDI may transfer them as part of a merger, acquisition, reorganization, or sale of its business.
- Events beyond control: neither party is responsible for delays or failures caused by events outside its reasonable control, such as power, internet, or cloud provider outages, cyberattacks that occur despite reasonable precautions, natural disasters, public health emergencies, labor actions, or government orders. This does not excuse payment obligations.
- Relationship: WBDI acts as an independent contractor, and these Terms do not make WBDI and you partners, joint venturers, employer and employee, or principal and agent. These Terms give no rights to anyone else.
- Legal notices: legal notices to WBDI must be in writing, mailed to the office address listed in Section 21 and also emailed to us. WBDI may send notices to the email address you gave us or post them on the Site, and you agree that electronic notices satisfy any requirement that notice be in writing.
- Continuing terms: sections that by their nature should last beyond your use of the Site or the end of an engagement, including those on ownership, confidentiality, disclaimers, liability, indemnity, and governing law, continue to apply.
- Headings: headings are for convenience and do not change the meaning of any section.
